Terms of Service

These Terms of Service (the “Terms”) govern use of the Sumac membership platform and the sumac.fyi website (together, the “Service”), provided by Ministry of Product (“we,” “us,” or “our”). By using the Service, you agree to these Terms.
1. What Sumac is
Sumac is a membership platform for clubs and communities. It handles applications, member directories, events, newsletters, and dues. Each club runs on its own dedicated instance — its own domain, its own database, its own branding — which we provision and operate on the club’s behalf.
2. Club agreements
Instances are set up individually for each club. The commercial details of a club’s instance — fees, term, and any specific commitments — are agreed with that club in writing. If a club’s written agreement with us conflicts with these Terms, the written agreement controls for that club.
3. Accounts and roles
A club’s instance has members, organizers, and admins. You are responsible for keeping your sign-in credentials secure and for activity that occurs under your account. Organizers and admins are additionally responsible for using their access only as authorized by their club. You must provide accurate information when creating or updating an account.
4. Acceptable use
You agree to use the Service only for lawful purposes. You may not:
- Use the Service for harassment, fraud, or any illegal activity
- Attempt to gain unauthorized access to the Service, another club’s instance, or another person’s account or data
- Send unsolicited email through the Service or otherwise violate applicable anti-spam laws
- Upload content that is unlawful, infringing, or malicious
- Resell or sublicense the Service except as agreed with us in writing
- Reverse engineer the Service or attempt to extract its source code
We may suspend or terminate access if we reasonably believe these Terms or applicable law have been violated.
5. Your club’s data
A club owns its data — its member records, content, and history. We process that data only as needed to operate the club’s instance, and our handling of personal information is described in our Privacy Policy. If a club leaves Sumac, we will provide an export of its data on request and then delete it, except where we are required to retain it by law.
Clubs are responsible for having the right to store and use the member data they bring to Sumac, including data imported from other systems.
6. Members and their clubs
If you are a member of a club that runs on Sumac, your membership relationship — dues, admission decisions, standing, and conduct — is with your club, not with us. Your club decides how its instance is configured and who has access to it.
7. Email and communications
Clubs use the Service to email their members and contacts. Each club is responsible for sending only to recipients it may lawfully contact and for honoring unsubscribe and preference choices. The Service provides opt-out and email-preference tools; clubs must not circumvent them.
8. Payments
Membership dues and event payments are processed by third-party payment providers (Stripe or Square, per the club’s configuration). Use of those providers is governed by their own terms. Fees owed to us by a club are set out in the club’s written agreement. Refunds of dues or event payments are decided by the club, subject to the refund tools the Service provides.
9. Disclaimer of warranties
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for claims arising from or related to the Service is limited to the amount the relevant club paid us in the twelve (12) months before the claim.
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
12. Termination
A club may end its use of the Service as set out in its agreement with us, or otherwise by written notice. We may suspend or terminate access for breach of these Terms, non-payment, or other reasons we communicate. On termination, data is handled as described in Section 5 and our Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the date above. Material changes will be communicated to clubs by email or through the Service. Continued use after a change takes effect constitutes acceptance.
14. General
These Terms, together with any written club agreement, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a right does not waive it. These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.
